Terms of Service of Tier 1 AI

Introduction

Welcome to Tier 1 AI ("Tier 1," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, applications, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Acceptance of Terms

By using the Services, you agree to abide by these Terms. If you are using the Services in a professional capacity or on behalf of an employer, you represent and warrant that you have the authority to agree to these Terms on behalf of yourself and your employer or organization.

2. User Accounts

To access certain features of the Services, you must create a user account ("User Account"). Your User Account can be linked to one of the following types of profiles:

Personal User Profile: This account is for individual, non-employment-related use. You are the sole user of this account, and it is intended for your personal use only.
Employer-Related User Profile: This account is linked to your professional or employment-related activities. It may be managed or provisioned by your employer or an organization. Your employer or organization may have administrative rights to your profile, including access to data and certain features.

You agree to:

Provide accurate, complete, and current information when creating your User Account.
Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized use of your account.
Comply with all applicable laws and any organizational policies if using the Service under an employer-related profile.

3. Use of the Service

3.1 Permitted Use

You agree to use the Services only for lawful purposes and in compliance with these Terms. You are responsible for all activities that occur under your account, regardless of whether you personally initiated them. You also agree not to:

Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
Use the Services to distribute malware, engage in spamming, or attempt unauthorized access to any systems.
Interfere with or disrupt the security, integrity, or performance of the Services.

3.2 Personal vs. Employer-Related Use

When using the Services under a Personal User Profile, you are solely responsible for the activities under that profile. However, if you are using the Services under an Employer-Related User Profile, your employer may have administrative access to your account and associated data. This may include permissions for your employer to view, manage, or modify your profile.

3.3 Employer Control

If your Employer-Related User Profile is linked to your User Account, your employer may have visibility into your use of the Services and access to data generated through the platform. Depending on the settings your employer has established, they may also manage permissions and restrict access to certain features.

3.4 API Integrations

If you integrate the Services with third-party APIs, such as Google Developer APIs, you agree to comply with the applicable third-party terms of service. You are responsible for obtaining any necessary permissions and ensuring that you comply with the policies of third-party providers.

4. Employer Responsibilities and Control (Employer-Related User Profiles)

4.1 Employer's Control

If you are using the Services under an Employer-Related User Profile, your employer may manage your access, data, and permissions within the Services. Employers may also monitor and track your usage.

4.2 Data Ownership and Access

Any data generated or shared through an Employer-Related User Profile may be considered property of your employer. Your employer may have the right to access, manage, or delete that data, depending on their policies.

4.3 Access Termination

Your employer has the right to modify or terminate access to your Employer-Related User Profile at any time, which may affect your access to certain features or the Services. We are not responsible for any disputes between you and your employer regarding account access.

5. Restrictions

You agree not to:

Modify, distribute, or reverse-engineer any part of the Services.
Use the Services for fraudulent, illegal, or harmful purposes, including unauthorized access to accounts or data.
Engage in any activity that could damage, disable, or impair the Services or its infrastructure.

6. Integration with Third-Party Services

The Services may integrate with third-party platforms such as Google Workspace, Slack, and LinkedIn. If you connect your account to third-party services, you:

Grant Tier 1 AI permission to access and process your data in accordance with our Privacy Policy and Google's API policies.
Acknowledge that we do not control third-party services and are not responsible for their functionality or security practices.
Can revoke Tier 1 AI's access to your connected third-party platforms at any time.

7. Intellectual Property

Tier 1 AI retains all ownership rights to its technology, software, and branding. Users may not copy, modify, distribute, or create derivative works based on our intellectual property without our permission.

8. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Services at any time without notice. We are not liable for any interruptions or loss of data.

9. Payment and Subscription

Certain features of the Services may require a subscription or payment. Subscription terms, including pricing and payment details, will be specified in your account settings or agreement with us.

You, the individual user, are responsible for all payments associated with your use of the Services, regardless of whether your User Account is linked to a Personal User Profile or an Employer-Related User Profile. This includes any subscription fees or charges incurred under your account, even if the account is linked to an employer's subscription plan.

10. Termination

By Us: We reserve the right to suspend or terminate your access to the Services at any time, without notice, for any reason, including but not limited to violations of these Terms or failure to comply with applicable laws.
By You: You may terminate your account at any time by contacting us. Termination of your account may result in the loss of access to certain features or data associated with your User Account.

11. Data Privacy and Security

We take data privacy seriously and handle your personal information in accordance with our Privacy Policy. By using the Services, you consent to the collection and use of your data as described in our Privacy Policy.

If you are using the Services under an Employer-Related User Profile, your employer may have access to certain data or content associated with your account. Please review your employer's privacy policies regarding data access.

12. Disclaimers, Liability, and Indemnification

12.1 Warranties

The Services are provided "as is" without warranties of any kind, either express or implied.

12.2 Limitation of Liability

To the maximum extent permitted by law, Tier 1 AI will not be liable for any indirect, incidental, special, or consequential damages, including loss of data, business interruption, or loss of profits arising from your use or inability to use the Services.

12.3 Indemnification

You agree to indemnify and hold harmless Tier 1 AI, its affiliates, and its employees from any claims, damages, or losses arising out of your use of the Services or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising from or in connection with these Terms will be resolved in the state or federal courts located in Santa Clara, California.

14. Changes to These Terms

We may update these Terms at any time. When we do, we will post the revised Terms on our website with an updated effective date. We will notify you of any significant changes. Your continued use of the Services after any updates to these Terms constitutes your acceptance of those changes.
